For #problem_01, you can give access to a particular role, then he/she only able to download that. Thus you can also reset the download count after a certain period.

For #problem_2, An add on called https://www.wpdownloadmanager.com/download/advanced-access-control, you will be able to send notifications to assigned users for new uploads and update on old uploads.
